Terms of Service
Effective date: 16 December 2025
These Terms of Service (“Terms”) apply to services provided by Ingenious Prime (“we,” “us,” “our”) including our Posting workflows and Lead Management Tool (together, the “Services”). By using our Services, you agree to these Terms.
1. Service description (Posting + Lead Management Tool)
Our Services may include:

Posting support: scheduling and publishing approved content on platforms such as Facebook, Instagram, YouTube, and others (subject to platform permissions and policies).

Lead management: capturing, organizing, assigning, and tracking leads generated from campaigns/forms (including platform lead forms), and maintaining lead status updates in agreed systems (such as dashboards, Wix Collections, Google Sheets, or CRMs).

Operational workflows: approvals, status changes, reporting, coordination, and basic automation related to posting and lead tracking.
No guarantees: We do not guarantee reach, leads, sales, conversions, or platform performance. Results depend on factors outside our control, such as budget, creative, offer, targeting, competition, timing, and platform algorithms/policies.
2. Client responsibilities
To use our Services, you agree that:
a) Rights to content
You own or have lawful permission to use all content you provide or ask us to publish (videos, images, music, logos, testimonials, scripts, etc.). You are responsible for obtaining any third-party permissions required.
b) Admin access & permissions
You will provide and maintain the necessary access for us to perform the Services, such as:

Meta Business Manager/Page/Ad Account permissions

YouTube channel access
-
Any other platform roles/permissions required for posting or lead integrations
If access is removed or restricted, delivery timelines may be affected.
c) Timely approvals & inputs
You will review, approve, and share required inputs on time. Delays in approvals or incomplete inputs may cause delays in posting and lead operations.
d) Accuracy of business information
You are responsible for the accuracy of your business claims, pricing, offers, locations, and policy statements. We may format and distribute content, but you own the truth of what is being communicated.
e) Compliance
You will comply with all applicable laws and platform rules. We may refuse requests that violate law, platform policy, or ethical standards.
3. Data handling
We may process personal data (such as name, phone number, email, city, and lead status) to deliver the Services. Our data practices are governed by our Privacy Policy:

We may store data in systems used to deliver the workflow (for example: Wix Collections, Google Sheets, CRMs, or platform integrations), based on the agreed setup.
4. Account access, security & termination
a) Account security
You should not share passwords insecurely. Where possible, access should be provided through platform roles/permissions or secure access methods.
b) Suspension
We may pause or suspend Services if:

required access is revoked,
-
payments are overdue,
-
content violates law or platform policies,
-
misuse, fraud, or security risk is detected.
c) Termination
Either party may terminate the engagement according to the commercial terms agreed in the proposal/invoice/contract. On termination:
-
posting/integrations may be disconnected,
-
tool access may be disabled (if provided by us),
-
any handover will be limited to the agreed scope.
5. Third-party platforms
Our Services may depend on third-party platforms (Meta, Google/YouTube, etc.). These platforms may change policies, features, API access, or availability at any time. We are not responsible for service disruption caused by third-party platform changes, outages, or enforcement actions.
6. Limitation of liability
To the maximum extent permitted by law:

We are not liable for indirect, incidental, special, consequential, or punitive damages (including loss of profits, loss of data, or business interruption).

Our total liability for any claim related to the Services will not exceed the fees paid to Ingenious Prime for the relevant service period.
7. Indemnity
You agree to indemnify and hold Ingenious Prime harmless against claims or disputes arising from:

content you provide or ask us to publish,
-
claims made about your business/products/services,
-
violation of intellectual property rights,
-
violations of law or platform policies linked to your business or content.
8. Updates to these Terms
We may update these Terms from time to time. Continued use of the Services after changes means you accept the updated Terms.
